This Website is operated by b.box for kids Europe B.V.  (KvK 91725070), a private limited liability company incorporated under the laws of the Netherlands with its registered office at Koninginneweg 152H, 1075EE Amsterdam. b.box for kids Europe B.V.  is a subsidiary of b.box For Kids Europe Holdings Pty Ltd, located at Level 3, 1 Acacia Place, Notting Hill VIC 3168, Australia (hereinafter collectively referred to as: “b.box”).

The terms “b.box”, “we”, “us” and “our” used in these Terms refer to b.box and its subsidiaries, divisions, branches, affiliates and companies under common ownership or control with b.box.

The terms “you” and “your” used in these Terms refer to individuals who purchase products on or through this Website.

This Website and its contents are intended solely for personal, non-commercial use. Any use of this Website or its contents other than for personal, non-commercial purposes is prohibited.

Applicable law

All applicable laws and regulations and these Terms apply to the purchase of products on this Website.  By using the Website, you agree that you have read, understood and agree to be bound by these Terms. If you do not agree, you must refrain from accessing and browsing this Website.

The Terms may be updated by us from time to time without notice or upon notice as required by law. If we change these Terms, we will update the Website. Any changes are effective immediately upon posting to, or removal from, the Website. Your continued use of the Website thereafter constitutes your acceptance of any changes to the Terms. Placing an order

To place an order with b.box you must be eligible to use the Website and possess a valid credit or debit card or any other form of payment acceptable to us and provide personal details including your full name, phone number, email address and any other requested information.  We can only fulfil an order if the delivery address is a home or office address in one of the countries to which we make deliveries.

An order is placed once you click on the 'continue', 'checkout' and 'payment' buttons on the 'review and confirm' page in the ordering process. A contract between us for the purchase of the goods will not be formed until your payment has been approved by us and we have debited your credit or debit card or other form of payment has been charged in the amount equivalent to the total price for the Products that are the subject of the order.

By clicking on the 'submit' button your order is sent to us. Once we have received your order, an automated confirmation of receipt will be sent to the email address you provided during the ordering process. This email will contain your order number and the details of your purchase.

We reserve the right to refuse your order or to terminate the purchase agreement.  All order cancellations must be emailed or sent in writing. Your order is considered current unless cancelled in writing (via email to customerserviceemea@bbox.com) by the customer and accepted by b.box.

Prices

The prices for the products displayed on the Website are inclusive of Value Added Tax (VAT).

Shipping costs are charged per order. The exact shipping costs depend on the country to which your order is shipped. Shipping costs and all other taxes, levies or fees of any kind imposed by any government agency will be added to your total purchase amount.

The prices as stated on the Website are subject to change. We reserve the right to change prices at any time without any notice. The prices as stated on the Website at any time are only valid at that time.

Whilst we try and ensure that all details, descriptions and prices which appear on this Website are accurate, errors (including processing errors) may occur. If we discover an error in the price or payment of any products which you have ordered, we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled. If the order is cancelled and you have already paid for the products, you will receive a refund.

Payment

Our Website accepts payments using Visa, MasterCard, Amex, iDEAL, PayPal, Union Pay and JCB. Credit and debit card transactions are processed online through a secure third-party. Please refer to our Privacy Policy for more information.

Unless otherwise agreed, you must pay for the products in advance, and we will not deliver the products until payment has been received.

To the extent permitted by law, we will not be held liable and responsible for any damages or consequential loss (whether direct or indirect) suffered by you because of any credit card fraud.

We will not be held liable or responsible for any additional charges imposed by your credit card provider or bank, especially in the case where your purchase involves foreign exchange transactions.

If your payment is not received in full or declined by your bank or credit card issuer, we cannot hold products against your order.

b.box's right to refuse orders and cancel purchases

We reserve the right to refuse any order or cancel any purchase for any reason. Examples of situations in which we are entitled to do so include:

• (a) the product(s) is/are not available and/or in stock;
• (b) we have reason to believe that you are purchasing products for the purpose of resale (you are a reseller and not a regular consumer);
• (c) the billing information you provided is incorrect or cannot be verified;
• (d) your payment is not confirmed/approved by our automated payment confirmation service;
• (e) the price shown for the product(s) was incorrect; or
• (f) we were unable to deliver to the address you provided.

Title and Risk

Title to the goods purchased from b.box does not pass from b.box to you until we have received payment in full for the goods. All risk in the goods passes to you upon delivery to the shipping address.

Shipping

 Dispatch times may vary according to availability and any guarantees or representations made as to delivery times are subject to any delays resulting from postal delays, busy sale periods or force majeure for which we will not be responsible.

If you are sending your package to somewhere other than the billing address, both addresses will appear on your order confirmation email. b.box cannot be held responsible for incorrect or incomplete information entered by you, including delivery addresses.

If you do not receive an order confirmation email, you may have entered an incorrect email address. Please contact us and we will correct the email address and send you a copy of your order and your order number.

Returns and Exchange Policy

 b.box understands that internet shopping is different from being able to pick-up and hold items the way you do in a ‘bricks and mortar’ store. That is why we, if you are in any way unhappy with your purchase, will happily return/exchange the item/s, provided:

1. All items are returned within 30 days of receipt.  No exchange, credit or refund can be given after 30 days for change of mind or if you have made a wrong decision.

2. The product(s) must be as new, i.e.: unused, undamaged, unsoiled and in their original packaging and/or tags attached.

3. Email Us with the following details at hand: Your Name, Invoice Number, Product Name and Request for Replacement, Exchange, Credit or Refund. We will send you a Return Authority Number.

Please note: Postage/shipping and handling of products is not refundable unless product is deemed faulty.

Under no circumstances will a refund or credit be given if the products received are used, soiled, damaged or without original packaging and/or tags attached. These items may be returned to the customer with the customer responsible for any return shipping costs.

It is suggested that you send your return package by receipted post or express post, as b.box cannot be held responsible for any product lost/damaged in transit.  If you have requested a refund, a credit will be issued via the same payment method used within 7 days of receipt of returned goods. If exchanging the item, you may select an alternative product, however if the replacement item is priced higher than the item exchanged you will be required to pay the difference.  We charge a minimum shipping charge within the EU when replacing goods (unless faulty, please read below).

b.box sells its goods indirectly:

• (through distributors) to retailers;
• via Amazon and Bol.com;

 and accordingly, we are unable to process returns for purchases made from any of our stockists. Should you wish to return any b.box good purchased from a stockist, please contact your place of purchase for a refund or exchange, according to the retailer's or any other marketplace channels’ return policy. We advise that you always keep your receipt and check retailer's conditions for return.

Faulty products and Warranty

Products should be inspected upon delivery. If a product appears to be damaged upon delivery or otherwise contain material or manufacturing defects, please contact us by email to inform us as soon as possible at customerserviceemea@bbox.com with your purchase details, details of the fault and any relevant photos. In that case, we will of course refund the purchase price, as well as the original shipping costs and costs you incur to return the items to us. You can also opt for a replacement product, if you prefer. If you have any questions, please do not hesitate to contact Customer Service.

Exceptions to Returnable Products

 Final Sale Purchase(s)

Final Sale applies to item(s) that have been marked down to clear. Items that are marked with final sale are not eligible for a change of mind return or exchange. We recommend choosing carefully to avoid disappointment and suggest contacting us for assistance, prior to purchasing. Any item that is discounted from 60% off is considered Final Sale. Final Sale will be displayed in your Order Confirmation and by category on the website. 

Discount Purchase(s)

From time to time some products may be offered at a discounted price due to slight damage or a small fault, this will be detailed on the product page. These items are not returnable and the sale is considered final.

Excluded Item(s)

All purchases of pacifiers are considered final sale. We will not accept returns of these items due to hygiene reasons.

By purchasing a final sale item(s), discount purchase(s) or excluded item(s) you agree that the item cannot be returned or exchanged for another item, unless in the event of them being faulty. If final sale items have been returned to our warehouse without Customer Care authorisation, items will be returned to sender at the sender’s expense. 

Promotional emails:

By placing an order with b.box, you authorise us to send you our promotional emails, exclusive sale offers and new product updates from time to time. If you do not wish to receive our promotional emails, please reply to your order confirmation with the title 'unsubscribe' in the subject line.

Promotions

From time to time, we may offer discount codes to be used on the Website. If so, additional terms and conditions may apply. By using the discount codes, you agree to such additional terms and conditions as communicated to you at the time of your use of the discount code.

 Warranty

All products sold to consumers within the European Union are covered by a statutory 2-year legal guarantee under EU consumer protection law.  The guarantee covers any lack of conformity that exists at the time of delivery and allows the buyer to request repair, replacement, or a refund if the goods do not conform to the contract.

 No guarantee

Except as stated under “Warranty” above, all Products are provided "as is." B.box makes no representations or warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, non-infringement or fitness for a particular purpose.

Limitation of Liability

In no event shall b.box be liable for any direct, indirect, incidental, consequential, punitive, special or other damages of any kind, whether for breach of warranty or otherwise. In no event shall our total liability to you arising out of or in any way connected with your order, the transaction to be entered into as a result thereof or these Terms exceed the total amount paid by you for the products purchased. For the avoidance of doubt, nothing in these Terms shall limit b.box’s liability for death or personal injury resulting from its gross negligence or fraudulent misrepresentation. 

If you reside in a country or state that does not allow any of the above exclusions or limitations of liability or any of the disclaimers of warranties above, such exclusions or limitations will not apply to you to the extent they are not allowed. In such case, the exclusion or limitation will be limited to the greatest extent permitted by applicable law.

ALL INFORMATION (INCLUDING, BUT NOT LIMITED TO, TEXT, GRAPHICS, IMAGES, LINKS AND OTHER MATERIALS) ON THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE". BBOX HEREBY EXPRESSLY DISCLAIM ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR AS TO THE OPERATION OF THIS WEBSITE, THE CONTENT OR USER CONTENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

B.BOX DOES NOT warrant or represent that (i) the Website will meet your requirements; (ii) the Website will be uninterrupted, timely, secure, or error-free; or (iii) the results that may be obtained from the use of the Website (including any information and materials on this Website) will be correct, complete, accurate, reliable, or otherwise meet your requirements.

The Website is a public website, therefore your User Content does not enjoy any confidentiality protection. Do not post confidential information here.

b.box shall not be liable for interruptions or omissions in the Internet, network or hosting services and do not warrant that the Website or the services which make this Website available or electronic communications sent by b.box are free of viruses or other harmful elements.

Any material downloaded or otherwise obtained through the use of this Website is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

Recall

You will cooperate fully with us and provide all reasonable assistance in the event we recall any products. You will notify us immediately if you know or suspect that there is a possibility that any products are or should be the subject of a recall.

Force majeure

Neither party will be responsible for any delay, suspension or failure arising out of any circumstances outside of its reasonable control, including acts of God, governmental actions, including any government imposed shutdown or closure, a change in applicable law, riots, vandalism, strikes, lockouts or other labour difficulty, war or national emergency, pandemic, epidemic, quarantine or other widespread or serious threat to human health (including an outbreak or recurrence), acts of terrorism, fire, explosion, flood or other natural disaster, inability to obtain any necessary materials, equipment, facilities or services, internet interruption or virus, accidents or breakdown of plant, machinery, software, hardware or communication network and failure or shortage of power supplies or other essential utility.

If you upload or otherwise provide any information or content (“User Content”) in the course of accessing or using the Website or our social media pages this User Content will be deemed non-confidential and, you:

Indemnity

To the extent permitted by applicable law, you agree to take responsibility for any claims, damages or losses we suffer as a result of your breach of these Terms or misuse of our Website, provided such actions are due to your fault.  Disclaimer regarding offers

• (a) Discounts do not apply to orders placed before or after the discount period;
• (b) A discount cannot be used in combination with other discount promotions;
• (c) b.box reserves the right to terminate any promotion at any time;
• (d) b.box reserves the right to extend any promotion at its sole discretion;

Severability of provisions

If any provision of these Terms is held to be illegal or unenforceable, that provision will be deemed severed from these Terms, but all other provisions will remain in full force and effect and the provision held to be illegal or unenforceable will be replaced with a provision of similar import that reflects the original intent of the provision to the extent permitted by law.

No Waiver of Rights

The failure of b.box to exercise any right or remedy under these Terms shall not be construed as a waiver of such right or remedy, whether for present or future actions by any person.

The headings of the sections of these Terms are for convenience only and shall not constitute a part hereof or affect in any way the meaning or interpretation of the Terms.

 Applicable law and jurisdiction

These Terms and the transactions subject to these Terms shall be exclusively governed by and construed in accordance with the laws of the Netherlands. The applicability of the Vienna Sales Convention is expressly excluded.

Disputes relating to or arising out of these Terms and/or any transactions subject to these Terms and Conditions shall be submitted exclusively to the competent court in Amsterdam.
